These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and mindfold.dev ("we", "us", or "our"), concerning your access to and use of our website and agency services. By accessing the site or engaging our services, you agree that you have read, understood, and agree to be bound by all of these Terms of Service.
We provide custom software development, AI integration, and web design services. The specific scope, timeline, and deliverables for any project will be outlined in a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties prior to commencement of work.
Our services often include the integration of third-party Artificial Intelligence APIs (e.g., OpenAI, Anthropic). We are not responsible for the uptime, content filtering, accuracy of outputs, or pricing changes of these third-party providers. Clients are responsible for adhering to the terms of service of any third-party AI provider integrated into their custom software.
AI Outputs: Due to the probabilistic nature of LLMs, we cannot guarantee the factual accuracy of AI-generated content within the applications we build. It is the client's responsibility to implement human-in-the-loop verification where necessary.
Unless otherwise indicated in a signed MSA, upon full payment of all invoices, the custom code, designs, and deliverables created specifically for your project will be transferred to you. We retain the right to use non-confidential underlying code, open-source libraries, and general knowledge acquired during the project for future work.
You agree to provide timely feedback, access to necessary systems, and all required assets needed for us to perform our services. Delays in client feedback may result in timeline extensions and potential project pause fees.
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the software we develop, even if we have been advised of the possibility of such damages.
